1. Agreement to Terms

By accessing or using fundsvisor ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms apply to all visitors, registered users, and any other parties who access the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

2. Description of Service

fundsvisor is a cloud-based financial management platform that allows individuals and small businesses to track expenses, record income, create and send invoices, generate reports, and manage their finances. The Service is provided on a subscription basis.

fundsvisor is a tool to assist with financial record-keeping only. Nothing in the Service constitutes financial, tax, investment, legal, or accounting advice. You are solely responsible for your financial decisions.

3. Accounts and Eligibility

To use the Service you must:

  • Be at least 18 years of age.
  • Provide accurate, complete, and current registration information.
  • Maintain the security and confidentiality of your password.
  • Promptly notify us of any unauthorised use of your account.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Subscriptions, Billing, and Payment

fundsvisor offers a free tier and a paid Pro subscription. Subscription pricing and features are described on our Pricing page and may be updated from time to time.

Merchant of Record. All payment processing and billing for paid subscriptions is handled by Paddle.com ("Paddle"), who acts as the Merchant of Record for all transactions. When you purchase a paid subscription, you are entering into a contract with Paddle, and you also agree to Paddle's Terms of Use and Privacy Policy.

Billing cycle. Monthly subscriptions renew on the same calendar day each month. Annual subscriptions renew on the same calendar day each year. You authorise Paddle to charge your selected payment method on a recurring basis.

Free trial. New Pro subscribers receive a free trial period as stated at the time of sign-up. You will not be charged until the trial ends. If you cancel before the trial period expires, you will not be charged.

Price changes. We will give you at least 30 days' notice before any price increase. Continued use of the Service after the price change takes effect constitutes your agreement to pay the new price.

Taxes. Paddle is responsible for collecting and remitting applicable sales tax, VAT, and GST on our behalf.

5. Cancellation

You may cancel your subscription at any time from the Billing section of your account settings. Upon cancellation, your Pro access continues until the end of the current billing period. You will not be charged for subsequent periods. Cancellation does not entitle you to a refund except as set out in our Refund Policy.

We reserve the right to suspend or terminate your account at any time if you are found to be in breach of these Terms, with or without notice. In the event of termination by us without cause, we will issue a pro-rated refund for any unused prepaid subscription period.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Upload, transmit, or distribute any content that is unlawful, fraudulent, or harmful.
  • Attempt to gain unauthorised access to any part of the Service or its related systems.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code.
  • Use automated means (bots, scrapers) to access or collect data from the Service without prior written consent.
  • Resell or sublicense access to the Service to third parties.
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.

7. User Data and Content

You retain full ownership of all financial data and content you input into the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display your User Content solely to provide the Service to you.

You are solely responsible for the accuracy and completeness of your User Content. We do not verify the accuracy of the financial data you enter.

You may export and delete your data at any time from your account settings. Upon account deletion, we will purge your data within 30 days, except where retention is required by applicable law.

8. Intellectual Property

The Service and all of its content, features, and functionality — including but not limited to software, text, images, and design — are owned by us and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features.

9. Third-Party Services

The Service may integrate with or link to third-party services. These integrations are provided for your convenience; we do not endorse, and are not responsible for, the content, privacy practices, or terms of any third-party service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service operator is established, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved amicably. If resolution cannot be reached, disputes shall be submitted to the courts of competent jurisdiction in that territory.
